Affiliate Program Terms & Conditions

1. Program Overview

The Thrive Affiliate Program allows eligible users to earn commissions by referring new paying customers to Thrive. By joining the program, you agree to these Terms & Conditions.

2. Eligibility Requirements

To participate in the Affiliate Program, you must:

• Have an active Thrive Pro or Pro+ account in good standing
• Be at least 18 years of age
• Not be located in a jurisdiction where affiliate programs are prohibited
• Agree to and comply with these Terms & Conditions
• Agree to and comply with Thrive's general Terms of Service

3. Commission Structure

3.1 Commission Rate

You will earn 15% commission (Pro members) or 20% commission (Plus members) on all payments made by customers you refer, including:

• Initial subscription payments (monthly or annual)
• Recurring subscription renewals
• Credit pack purchases

3.2 Attribution

A referral is attributed to you when a visitor clicks your unique affiliate link and completes a purchase within 30 days. The 30-day cookie window begins at the time of the click.

3.3 Commission Hold Period

Commissions remain in "pending" status for 30 days after being earned. This hold period allows for refund requests and chargeback resolution. After 30 days, commissions are automatically approved and become available for payout.

3.4 Recurring Commissions

For subscription customers, you will continue to earn your tier's commission rate (15% for Pro, 20% for Plus) on each recurring payment for up to 12 months, as long as the customer remains subscribed. Your commission rate is based on your own plan at the time each commission is calculated. Commissions end after 12 months, or earlier if the customer cancels, churns, or requests a refund.

4. Payouts

4.1 Minimum Payout

The minimum payout threshold is $50 USD. You may request a payout once your approved commission balance reaches this amount.

4.2 Payout Methods

We offer the following payout methods:

• USDC Stablecoins: Paid in USDC on Base or Polygon networks. Connect your wallet through Thrive to receive payouts. $50 minimum.
• Credit Conversion: Convert your earnings to Thrive credits at 10% off retail price ($0.018/credit vs $0.02 retail). No minimum, instant processing.

4.3 Payout Processing

Payout requests are processed manually by our team, typically within 5-7 business days. We may request additional verification for large payouts or suspicious activity.

5. Promotional Guidelines

When promoting Thrive, you agree to:

• Be transparent about your affiliate relationship (disclose that you earn commissions)
• Not make false or misleading claims about Thrive's features or results
• Not guarantee profits or specific trading outcomes
• Comply with FTC guidelines and any applicable advertising regulations
• Not spam or engage in unsolicited bulk messaging
• Not use Thrive trademarks in a way that implies official endorsement

6. Prohibited Activities

You may NOT:

• Self-refer or create accounts to earn commissions on your own purchases
• Use cookie stuffing, pop-ups, or deceptive practices to generate clicks
• Bid on Thrive brand keywords in paid advertising
• Create fake reviews or testimonials
• Use bots, scripts, or automated tools to inflate clicks or conversions
• Engage in fraudulent or deceptive referral practices
• Share or transfer your affiliate account to others
• Promote Thrive on adult, violent, or illegal content websites

7. Commission Adjustments

We reserve the right to adjust or cancel commissions in the following cases:

• Refunds: If a referred customer requests and receives a refund, the related commission will be cancelled
• Chargebacks: Commissions on disputed payments will be reversed
• Fraud: Commissions earned through fraudulent means will be forfeited
• Self-Referrals: Commissions on self-referrals will be cancelled
• Terms Violations: Any commissions earned while violating these terms may be cancelled

8. Program Changes

We reserve the right to modify the Affiliate Program at any time, including:

• Commission rates
• Cookie window duration
• Minimum payout thresholds
• Eligible products and services
• These Terms & Conditions

We will notify active affiliates of material changes via email. Changes to commission rates will not affect previously earned commissions.

9. Termination

9.1 By You

You may deactivate your affiliate account at any time through your dashboard. Approved commissions at the time of termination will be paid out according to normal payout schedules, provided they meet the minimum threshold.

9.2 By Us

We may terminate your participation in the Affiliate Program at any time for any reason, including but not limited to:

• Violation of these Terms & Conditions
• Inactivity (no referrals for 12+ months)
• Fraudulent or suspicious activity
• Discontinuation of the Affiliate Program

9.3 Effect of Termination

Upon termination for cause (violation of terms), all pending commissions may be forfeited. Upon termination without cause, approved commissions will be paid according to normal schedules.

10. Limitation of Liability

THRIVE DEFI, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR PARTICIPATION IN THE AFFILIATE PROGRAM, INCLUDING LOST PROFITS OR LOST COMMISSIONS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF COMMISSIONS ACTUALLY PAID TO YOU IN THE 12 MONTHS PRECEDING ANY CLAIM.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in Delaware.
